Terms of Service

These Terms of Service (the "Terms") govern your access to and use of obsidianascension.com and any related pages, funnels, forms, communities, and content we operate (together, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Who we are

Obsidian Ascension ("we," "us," "our") provides done-for-you advertising and appointment-setting services for medical weight loss clinics. The Site markets those services, collects inquiries, schedules calls, and hosts free and paid content.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to both you and that entity.

3. Changes to the Site and these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms. Changes take effect when posted, and the "Last updated" date above will reflect the revision. Your continued use of the Site after changes are posted means you accept the updated Terms.

4. Information you submit

You agree that any information you give us through the Site, including your name, email address, phone number, and business details, is accurate and belongs to you or that you are authorized to provide it. Our handling of that information is described in our Privacy Policy, which forms part of these Terms.

5. Communications consent

When you submit a form on the Site, you consent to receive communications from us by email, phone, and text message at the contact details you provide, including messages sent using automated technology. Consent is not a condition of purchase. Message and data rates may apply. Message frequency varies. Reply STOP to any text message to opt out of texts, and use the unsubscribe link in any email to opt out of marketing email. Opting out of marketing does not stop transactional messages relating to a scheduled call or an active engagement.

6. Acceptable use

This Site may include a variety of features, such as bulletin boards, web logs, chat rooms, and email services, which allow feedback to us and real-time interaction between users, and other features which allow users to communicate with others. Responsibility for what is posted on bulletin boards, web logs, chat rooms, and other public posting areas on the Site, or sent via any email services on the Site, lies with each user. You alone are responsible for the material you post or send. We do not control the messages, information or files that you or others may provide through the Site.

It is a condition of your use of the Site that you do not:

• Restrict or inhibit any other user from using and enjoying the Site.
• Use the Site to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt any servers or networks used to provide the Site or its features, or disobey any requirements, procedures, policies or regulations of the networks we use to provide the Site.
• Use the Site to instigate or encourage others to commit illegal activities or cause injury or property damage to any person.
• Gain unauthorized access to the Site, or any account, computer system, or network connected to this Site, by means such as hacking, password mining or other illicit means.
• Obtain or attempt to obtain any materials or information through any means not intentionally made available through this Site.
• Use the Site to post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law.
• Use the Site to post or transmit any information, software or other material that violates or infringes upon the rights of others, including material that is an invasion of privacy or publicity rights or that is protected by copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder.
• Use the Site to post or transmit any information, software or other material that contains a virus or other harmful component.
• Use the Site to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising.
• Use the Site to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval.
• Gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Site.

7. Public forums and user content

Obsidian Ascension may host message boards, chats and other public forums on its Sites. Any user failing to comply with the terms and conditions of this Agreement may be expelled from and refused continued access to, the message boards, chats or other public forums in the future. Obsidian Ascension or its designated agents may remove or alter any user-created content at any time for any reason.

Message boards, chats and other public forums are intended to serve as discussion centers for users and subscribers. Information and content posted within these public forums may be provided by Obsidian Ascension staff, Obsidian Ascension's outside contributors, or by users not connected with Obsidian Ascension, some of whom may employ anonymous user names. Obsidian Ascension expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages. Under no circumstances will we, our affiliates, suppliers or agents be liable for any loss or damage caused by your reliance on information obtained through these forums. The opinions expressed in these forums are solely the opinions of the participants, and do not reflect the opinions of Obsidian Ascension or any of its subsidiaries or affiliates.

Obsidian Ascension has no obligation whatsoever to monitor any of the content or postings on the message boards, chat rooms or other public forums on the Sites. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, our clients, sponsors, users and visitors.

By posting content to any public area of the Site, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, adapt, and display that content in connection with operating and promoting the Site and our services. You represent that you own the content you post or have the rights necessary to grant this license.

8. Community membership

We occasionally include access to an online community as part of our programs. We want every single member to add value to the group. Our goal is to make your community the most valuable community you are a member of. Therefore, we reserve the right to remove anyone at any time. We rarely do this, but we want to let you know how seriously we take our communities.

9. Client engagements

The Site is marketing material. It is not an offer to contract and it does not create a client relationship. Any services we provide to you are governed by a separate written services agreement between you and Obsidian Ascension, which controls scope, fees, payment terms, term and termination, guarantees, and any other commercial term. If anything in these Terms conflicts with that agreement, that agreement governs for the services it covers.

Advertising spend paid to advertising platforms is separate from our fees, is billed by those platforms directly to you unless your agreement says otherwise, and is not refundable by us.

We are a marketing company. Content on the Site may reference medical weight loss, GLP-1 medications, treatments, or clinical topics for marketing context only. Nothing on the Site is medical advice, diagnosis, or treatment, and nothing on the Site should be relied on as such by any patient or provider. Clinics and providers are solely responsible for the clinical, regulatory, licensing, telehealth, advertising, and compliance requirements that apply to their own practice, including any advertising claims they approve for use.

12. Intellectual property

The Site and all content on it, including text, graphics, logos, images, video, audio, frameworks, templates, and software, is owned by Obsidian Ascension or its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-transferable license to view and use the Site for your own informational purposes. You may not copy, reproduce, republish, resell, distribute, modify, or create derivative works from any part of the Site without our prior written permission. "Obsidian Ascension" and our logo are our trademarks and may not be used without permission.

13. Third-party links and services

The Site links to and relies on third-party services, including advertising, scheduling, CRM, payment, and analytics platforms. We do not control those services and are not responsible for their content, availability, policies, or practices. Your use of a third-party service is governed by that provider's own terms and privacy policy.

14. Disclaimer of warranties

The site is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any content on it is accurate, complete, or current.

15. Limitation of liability

To the fullest extent permitted by law, Obsidian Ascension and its owners, employees, contractors, affiliates, suppliers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of or inability to use the site, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the site is limited to one hundred dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Obsidian Ascension and its owners, employees, contractors, and affiliates from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Site, your content, your violation of these Terms, or your violation of any law or the rights of a third party.

17. Termination

We may suspend or terminate your access to the Site, any community, or any content at any time, for any reason, without notice. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

18. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, without regard to its conflict of law rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Indiana, and you consent to the personal jurisdiction and venue of those courts. Any claim must be brought within one year after it arises. You and Obsidian Ascension each waive any right to bring or participate in a class action.

19. General

If any provision of these Terms is found unenforceable, the rest remains in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent, and we may assign them freely. These Terms, together with our Privacy Policy and any services agreement you have signed with us, are the entire agreement between you and Obsidian Ascension regarding the Site.
